Affiliate Program - Agreement
You agree to join and remain in the Affiliate Program of Australian Intranets Pty. Ltd. (ABN 11 100 150 169) on the following terms and conditions:
1. Australian Intranets may change these Terms and Conditions at any time and without notice by posting those changes (or changed terms and conditions) on its web site.
2. The commission rates payable to you are on a '10% of Total Revenues' basis for all Australian Intranets registered Intranet web sites referred by the Affiliate via their unique tracking advert identification links.
3. Commissions are paid for a Quarterly period (January to March, April to June, July to September, October to December). Commissions will be paid within 45 days from the end of the commission period.
4. Any commission paid to you is exclusive of any goods and services tax (GST) and other taxes or charges that may apply to the commission by any relevant law. You must meet the liability for any applicable tax, charge or levy.
5. From 1 July 2000, GST will be applied to all commissions paid to Australian Intranets Pty Ltd's Affiliates and Partners in Australia. GST will also have to be paid by Australian Intranets Pty Ltd on the commission paid to its Affiliates and Partners. This means that Affiliates and Partners will collect GST on commission, paid to them by Australian Intranets Pty Ltd, on behalf of the ATO. This GST will have to be declared in the GST returns made by Affiliates and Partners to the ATO. It is important to note that the GST is paid to the Affiliates and Partners by Australian Intranets Pty Ltd, and is additional to the commission. It is not an extra tax being charged to the Affiliates and Partners. If you have specified that you are an Australian resident for taxation purposes, then you must also supply to Australian Intranets a valid Australian Business Number (ABN), and any commissions paid to you:
a) will be paid inclusive of any GST but exclusive of any other tax or charge which may apply to the commission under any relevant law. You must meet the liability for any such other tax or charge.
b) If you operate in Australia and fail to provide your Australian Business Number we are obliged to subtract withholding tax.
c) In the event that users cancel orders or activities for which commissions had previously been calculated, appropriate adjustments will be made to future commissions. Administration fees may apply.
d) We reserve the right not to honour or to reverse any transactions carried out dishonestly or fraudulently.
e) Interest will not be paid on outstanding commissions.
f) Any discrepancies or queries should be brought to our attention as soon as evident within 30 days.
g) You acknowledge and agree that necessary currency conversions will be at the then prevailing market rates as determined by us.
h) Commissions will be paid in Australian Dollars.
6. As a member of the Australian Intranets Affiliate Program you are granted a limited licence to use Australian Intranets' logos and trade marks. You may use them only in the format provided to you, for the period that you are an authorised Affiliate member and only for purposes connected to the conduct and promotion of the Affiliate Program. Any alterations to the format of the logos and trademarks or the banners must only be made with the prior written approval of Australian Intranets. You must cease to use any logos or trademarks immediately upon your ceasing to be a member of the Affiliate Program.
7. As an Affiliate Program member, you do not acquire any right or interest in any intellectual or commercial property of Australian Intranets.
8. Australian Intranets is not responsible for any claim or demand which may be made against you by a customer applying for or registering the Australian Intranet web site through your site, and you hold harmless and release Australian Intranets from and against any such claims.
9. You indemnify Australian Intranets from and against all claims, demands, losses and charges it incurs as a result of your breach or non-performance of any provisions of these Terms and Conditions.
10. Australian Intranets may immediately terminate your participation in the Affiliate Program in case of your breach or non-performance of this Agreement, without any liability for any loss or damage which may be incurred by you as a result of termination.
11. Either party may terminate your participation in the Affiliate Program without cause by not less than 7 days notice to the other.
